Google Ads Service Agreement
This Agreement ("Agreement") is entered into by and between:
Akuna Digital Partners, ("Service Provider"), and the signee of this form, ("Client").
1. Services Provided
1.1 The Service Provider agrees to provide Google Ads management services to the Client on a free trial basis for a period of 14 days ("Free Trial Period"), commencing on the Effective Date.
1.2 During the Free Trial Period, the Client will receive Google Ads campaign setup, optimization, and reporting as per industry best practices.
2. Ad Spend
2.1 The Client agrees to cover all ad spend costs during the Free Trial Period.
2.2 The Service Provider shall have no liability for ad spend, which will be directly paid by the Client to Google or any other relevant advertising platform.
3. Client Responsibilities
3.1 The Client agrees to provide all necessary access to their Google Ads account and any other information required by the Service Provider to effectively manage the campaign.
3.2 The Client is responsible for ensuring the validity and legality of any ads and materials provided for use in the campaigns.
4. Limitations of Liability
4.1 The Service Provider makes no guarantees regarding the results of the advertising campaigns during the Free Trial Period or beyond.
4.2 The Service Provider shall not be held liable for any direct, indirect, or consequential damages arising from the use of the services provided, including but not limited to loss of profits, business interruption, or other economic loss.
5. Indemnification
5.1 The Client agrees to indemnify and hold harmless the Service Provider from any and all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of any legal issues related to the advertising materials or any third-party claims relating to the use of the Google Ads platform.
6. Intellectual Property
6.1 The Client retains ownership of all content, creatives, and materials provided for use in the advertising campaigns.
6.2 The Service Provider retains ownership of any methodologies, strategies, or intellectual property developed during the Free Trial Period.
7. Confidentiality
7.1 Both parties agree to maintain confidentiality of all information exchanged during the term of this Agreement.
8. Termination
8.1 Either party may terminate this Agreement at any time with written notice.
8.2 Upon termination, the Service Provider will cease all Google Ads management services.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Australia.
